Introduction

This Privacy Policy details how your data, including personally identifiable information, is collected, used, and shared when you visit the Wholesale Helper (“Wholesale Helper”, “we” or “us”) website (https://www.wholesalehelper.io), install one of our products, use our apps, including use from a third party website such as an e-commerce website on Shopify, submit any personal information to us, or contact us (collectively, the “service”). Wholesale Helper takes reasonable steps to protect user privacy consistent with the guidelines set forth in this Privacy Policy and with all applicable U.S. laws and the EU General Data Protection Regulation (GDPR). In this policy, “user” or “you” means any person using the service as described above.

By accessing our website, viewing our Shopify app store pages, using the service, integrating with our systems, or by otherwise providing us with personal information, you are accepting the terms described in the Privacy Policy. Our Privacy Policy was last updated on the date indicated above. It may change from time to time, and any changes will be posted on this page. We will give more prominent notice in case of significant changes to our policies. Your continued use of our services signify your acceptance of any changes to our terms. This Privacy Policy does not apply to services offered by third-party, external companies or individuals, including third party services used by Wholesale Helper. We encourage you to familiarize yourself with the applicable privacy policies of these third party services.

Security

Wholesale Helper takes reasonable steps to protect personal information processed or stored through the service.  However, no Internet transmission is ever completely secure. Breaches may occur and we cannot guarantee against unauthorized access, alteration, or destruction of your personal information. We advise you to exercise caution when deciding what data to send us through the Internet.

We regularly review our information collection, storage and processing practices, including physical security measures, provided by our hosting providers. Where we have given you (or where you have chosen) a password which enables you to access certain parts of the service, you must take reasonable steps to keeping this password confidential. We ask you not to share a password with anyone. If you use another account to log on to a secure part of our Sites, then please take reasonable steps to keep that password secure too. If you think that any of your passwords might have been compromised, then please let us know immediately at themes@wholesalehelper.io.

Your account is password-protected so that only you have access to your account information. In order to maintain this protection, do not give your password to anyone.   You should never share devices. This will help protect your information entered on public terminals from disclosure to third parties. 

What information do we collect

How do we use the information we collect

We use the data we collect to provide the service, improve our service, and offer new features such as analytics. Personal information, which may be stored in our contact management systems, is used for providing customer support, administrative purposes, and conducting marketing activities for our services.

Personal information, user data, and tracking data are aggregated for the purpose of generating statistical insights about our service and its users. Aggregated data cannot be used to identify any specific person, and as such no longer constitutes personal information. We analyze aggregated data to understand and improve our services.

What information do we disclose to 3rd parties

We do not sell your information to third parties. We may, however, use a third party service or agent to store, process, or share information to perform business-related functions. We have carefully selected these service providers and agents. We may also disclose your personal information to government regulators and other authorities who require reporting of processing activities in certain circumstances. We seek to ensure that all third parties respect the security of your personal information and treat it in accordance with applicable laws. 

We take reasonable steps to ensure any third party service we use protects your privacy, but they are not covered by this policy. 

Due to the nature of our apps operating on top of the Shopify platform, much of the personal information you enter on our app, including name, email addresses, and password is sent to the Shopify platform. Shopify processes and stores your information to give you the service. We do not store this information ourselves. Because Shopify holds the data, they may share information with other 3rd parties, and you should read Shopify’s Privacy Policy to understand how your data on their platform might be shared. 

An example of how data entered through our apps might be shared with a third party through Shopify is when a customer of a merchant who uses our service signs up through the Wholesale Signup Form. Signup information is sent to Shopify to process the account creation and management, and we do not store the information ourselves. The customer’s account information might be shared with other apps which the merchant gives explicit permission to through Shopify.

Non-personal information that is entered on our app, such as discounts created, might also be accessed by third party apps  on the Shopify platform, or which are installed on your store (if these third party apps have access to your store). Such third party apps  may  access this information from Shopify itself through its API or direct access to a store’s code, and are typically granted access to this information by you when you use their service. We encourage you to go to these third party apps’ privacy policies to understand how they use your information.

Non-personally identifiable information, including aggregated data and derived insights, may be shared with third parties in line with our business interests. Examples include sharing total sales generated through our apps to potential investors, prospective customers, and on marketing material.

Wholesale Helper may be obligated to provide personal information to comply with legal requirements, and in such cases prior notification may not be required before your data is disclosed. If you are using our service as an employee or contractor of an entity who avails our services, said entity is treated as our customer and as such we may disclose information related to your usage to said entity.

Accessing, updating, and deleting your information

Users from the European Union and California, by virtue of the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA) respectively, have the right to access information we have on them, update personal information, and delete information unique to them. This is a right we extend to all our users.

Please course requests of this nature to themes@wholesalehelper.io. Deletion of data is done within 90 days of the request, unless otherwise agreed with the concerned user.

General Data Protection Regulation (GDPR)

If you are a European resident, please note that your information will be transferred outside of Europe, including to servers located in the United States. We note that we process your information in order to fulfill the service we provide to you, such as when you make an order using a Wholesale Helper app, or otherwise to pursue legitimate business interests described above.

Under the GDPR, you have a number of rights regarding the processing of your personal information. You may:
1. Request access to the personal  information that we process about you
2. Request correction or rectification of your personal  information
3. Request erasure of your personal  information
4. Request restriction of processing of your personal  information
5. Object to the processing of your personal  information
6. Request to receive your personal  information in a structured, commonly used and machine-readable format (right to data portability), or
7. Withdraw any future consent with future effect.

California Consumer Privacy Act (CCPA)

This section applies solely to visitors, users, and others who reside in the State of California. We adopt these provisions to comply with CCPA and other California privacy laws.  Any terms defined in the CCPA have the same meaning when used in this notice.

Definitions

The following terms will have the meanings set forth below. Capitalized terms used in this Addendum that are not defined herein shall have the meanings set forth in the Agreement:

“Personal Information” shall have the meaning set forth in the CCPA, limited to the information that we process on behalf of Business.

“Business” and “Sell” shall have the meaning set forth in the CCPA.

Roles of the Parties

The parties agree that you are a Business and we are a Service Provider, as those terms are defined in the CCPA.

Our Obligations.

Instructions. You direct us to collect, retain, use, disclose, and/or otherwise process Personal Information (i) to fulfill our obligations to perform the Services under the Agreement, (ii) for a valid business purpose, and (iii) as otherwise directed by you in writing.

Use Limitations. We shall not Sell Personal Information or otherwise retain, use, or disclose Personal Information for any commercial purpose other than for the specific purposes set forth herein.

Permitted Uses. In addition to the purposes set forth above, you understand and agree that we may collect, retain, use, disclose, and otherwise process Personal Information as follows:

• To collect, use, retain, share, or disclose Personal Information that has been (i) aggregated or (ii) de-identified in accordance with the CCPA.
• To comply with applicable laws.
• To comply with a civil, criminal, or regulatory inquiry, investigation, subpoena, or summons by federal, state, or local authorities
• To cooperate with law enforcement agencies concerning conduct or activity that Business, we, or a third party reasonably and in good faith believes may violate federal, state, or local law.
• To exercise or defend legal claims.

Access and Deletion Requests. Upon your written request, we shall assist you in complying with your obligations under the CCPA to respond to verifiable consumer requests to access or delete Personal Information. We shall have no obligation to reidentify or otherwise link information that is not maintained in a manner that would be considered Personal Information.

Your Obligations 

Compliance with Applicable Laws. You shall comply with applicable laws, including without limitation, and to the extent required: (i) providing notice; (ii) obtaining consent; (iii) honoring access, deletion, opt-out, and opt-in rights and requests; and (iv) otherwise ensuring that we have any and all rights required in order for us to collect, retain, use, disclose, and otherwise process Personal Information under the Agreement.

Your Directions. You shall not direct us to collect, retain, use, disclose, or otherwise process Personal Information in violation of the CCPA or other applicable laws.

Responding to Requests. You understand and agree that you are solely responsible for responding to requests to exercise individual rights and that we shall have no responsibility to respond directly to an individual on your behalf.Under the CCPA, you have the right to access personal  information we have on you, and to update and delete this data. We may disclose your personal information for a business purpose to the following categories of third parties:
• Our affiliates.
• Service providers.
• Third parties to whom you or your agents authorize us to disclose your personal information in connection with products or services we provide to you.

Non-Discrimination

We will not discriminate against you for exercising any of your CCPA rights. Unless permitted by the CCPA, we will not:

• Deny you goods or services.
• Charge you different prices or rates for goods or services, including through granting discounts or other benefits, or imposing penalties.
• Provide you a different level or quality of goods or services.
• Suggest that you may receive a different price or rate for goods or services or a different level or quality of goods or services.

Additional Information.

Age Restriction.  We understand the importance of protecting children’s privacy in the interactive online world. Our service is meant to cater to business clients and is therefore not designed for, nor intentionally targeted at, children of 13 years of age or younger. We do not therefore knowingly collect or maintain personal information relating to children of 13 years of age or younger.

Do Not Track Signals. In compliance with the California Online Privacy Protection Act (CalOPPA) (e.g.: Browsers Do Not Track Signals) while we strive to offer you choice when using our service, we do not promise that we will be able to receive or honor web browser Do Not Track signals. 

Deidentification. We may process personal information for the purpose of creating a deidentified data set. We may then process that deidentified data set for business purposes, including improving our products and services, without further notice to you. The processing of your Personal information for this purpose is based on our legitimate interests. 

Algorithmic Profiling. We use algorithm-based technologies to personalize dynamic web content based on your explicit and/or implicit interests. We carry out general profiling such as segmentation, non-automated and automated decision-making based on profiling for the purpose of providing you with a more relevant experience and for the purposes of our legitimate interests as a commercial organization. Solely automated decision making is never used in any way that produces a legal or similarly significant effect. Depending on the laws of the country where you live, you may have rights related to our decision. For example, if you live in the European Union, you may have the right not to be subject to our decision, or you may have the right to insist on human intervention in the process, express your point of view or contest the decision. To exercise any such right, contact us via one of the methods set out above. In some cases, we may have the right to continue with our decision, in accordance with applicable laws. This will be explained if it is the case. Otherwise, we will respond to your request as promptly as reasonably possible.
